1. Agreement to Terms
This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Innovo Storage ("Company") governing your use of the Innovo Storage QuickBooks Online Integration application (the "Application"). By accessing or using the Application, you agree to be bound by the terms of this Agreement.
2. License Grant
Subject to the terms of this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to use the Application solely for the purpose of synchronizing accounting data between Innovo Storage's internal ERP system and QuickBooks Online. This license is restricted to authorized Innovo Storage personnel.
3. Permitted Use
You may use the Application only to:
- Connect your authorized QuickBooks Online company account to the Application via Intuit's OAuth 2.0 authorization flow.
- Synchronize accounting data (customers, vendors, invoices, bills, payments, journal entries, and related records) between the Company's ERP system and QuickBooks Online.
- Review and reconcile synchronized data for accuracy.
4. Restrictions
You may not:
- Use the Application for any purpose other than authorized accounting data synchronization for Innovo Storage.
- Share your access credentials or allow unauthorized individuals to use the Application.
- Attempt to reverse engineer, decompile, or disassemble the Application.
- Use the Application to access QuickBooks Online accounts not owned or authorized by Innovo Storage.
- Redistribute, sublicense, or make the Application available to third parties.
5. QuickBooks Online Integration
The Application connects to QuickBooks Online through Intuit's official API and OAuth 2.0 authorization. Your use of QuickBooks Online is subject to Intuit's own terms of service and privacy policy. The Company is not responsible for the availability, performance, or terms of the QuickBooks Online service.
6. Data and Privacy
Your use of the Application is also governed by our Privacy Policy, which describes how we access, use, and protect data from your QuickBooks Online account. By using the Application, you acknowledge and agree to the data practices described in the Privacy Policy.
7. Disclaimer of Warranties
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APPLICATION, INCLUDING BUT NOT LIMITED TO DATA LOSS, DATA CORRUPTION, OR ERRORS IN SYNCHRONIZED ACCOUNTING DATA, REGARDLESS OF THE THEORY OF LIABILITY.
9. Indemnification
You agree to indemnify and hold harmless the Company from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your misuse of the Application or violation of this Agreement.
10. Termination
The Company may terminate this Agreement and revoke your access to the Application at any time, with or without cause. Upon termination, you must cease all use of the Application. You may also terminate this Agreement at any time by disconnecting the Application from your QuickBooks Online account and ceasing use.
11. Modifications
The Company reserves the right to modify this Agreement at any time. Updated terms will be posted on this page with a revised effective date. Your continued use of the Application after changes are posted constitutes acceptance of the modified Agreement.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions.
